The end game of a lending business: decide the final shape first, then work back to today

Decide the final shape first

Companies usually start lending as an extension of their core business: working capital for dealers and suppliers, instalments for their own customers, or earned wage access for employees. The trigger comes first: lending would grow the core business.

If the licence, the system and the funding source are chosen in the momentum of launch, changing direction a few years later means rebuilding. A loan runs from months to years until it is collected. How you start is bound by how you intend to end.

So the first decision is the shape in which the company wants to hold this business in the end.

Four end states

1. Keep it as a finance function inside the group

The yardstick is less the lending profit itself than how much it sustains the core business's sales and relationships.

2. Grow it, then sell it or form a joint venture

Buyers look for data that can be handed over and records that stand up to audit.

3. Grow it into an independent finance business

Lending to outside borrowers and raising outside funding requires a higher licence, a funding structure and bank-level controls.

4. Close it once its purpose is served

Deciding how to close at the start lets you finish without harming existing borrowers or the records.

Working back changes today's decisions

  • Licence and legal entity: in the parent, or in a dedicated lending subsidiary.
  • Who you lend to: core-business customers only, or outside borrowers.
  • System: built into the core ERP, or a separate core lending ledger.
  • Funding: own funds, or outside borrowing with the reporting it requires.
  • Data and records: tamper-evident and exportable, whichever end state you choose.

What a listed company checks first

  • Foreign ownership limits: in some countries and licence types, foreign shareholding is capped, so a joint venture with a local partner is required from the start.
  • Consolidation and internal control: a lending subsidiary is consolidated and falls within the scope of internal control over financial reporting.
  • Reputation: collections are seen under the parent's name.

Decide at each milestone whether to continue

Set the indicators and the stop conditions before launch: credit losses and arrears, contribution to the core business (compare retention and purchase volume of customers who borrow and those who do not), and the effort collections take.

Build so the end state can change

Whatever the end state, three things are safe to have from day one: a separate ledger per lending entity, a verifiable record of actions and approvals, and loan and collection data that can be exported at any time.

T&S Asset Management starts every corporate lending launch by deciding this end state together with the client.
